BLADE SOUTHAMPTON PASS TERMS AND CONDITIONS

These Blade Southampton Pass Terms and Conditions (the “Terms”) are agreed to by any purchasers (“Pass Holders”) of the Blade Southampton Pass (the “Pass”) sold by Blade Urban Air Mobility, Inc. (“Blade”) referencing these Terms. By purchasing and/or using the Pass, Pass Holders expressly acknowledge and accept these Terms.

1. Payment.

  1. Wire Payment or Credit Card. Payment for the purchase of the Pass may be made via wire transfer, or credit card, or any payment method accepted at checkout (subject to any applicable terms). All credit card payments will be subject to a 3.5% processing fee. Passes will not be activated until full payment is received and confirmed. Pass Holder is responsible for all applicable taxes, including Federal Excise Tax on all Seat purchases, to be charged by Blade at the Pass Holder’s applicable credit card at the time of booking a respective Seat (as defined below). Purchase of the Pass is non-refundable and no refunds, extensions, credits, or rollovers will be granted. A Pass may be purchased on behalf of another individual, provided that the purchaser supplies the designated Pass Holder’s full name and contact information at the time of purchase.
  2. Credit Card on File. Pass Holder shall provide a valid credit card for Blade to keep on file for any amounts owed. Any additional amounts owed by Pass Holder to Blade, including without limitation, cancellation fees, change fees, additional luggage fees, upgrade fees or other ancillary costs or fees, will be charged to Pass Holder’s credit card. If Pass Holder’s credit card is used for any reason under these Terms, all amounts due may be subject to additional credit card processing fees.

2. Pass Activation and Duration. The Pass will be valid for Flights between May 21, 2026 and September 8, 2026 (the “Pass Period”). The Pass will automatically expire at 11:59 PM ET on September 8, 2026 and any Seats on Flights outside of the Pass Period will not be honored and must be purchased separately.

3. Eligibility. Subject to these Terms, the Pass grants Pass Holder access to reserve individual seats (“Seats”) on certain air transportation arranged by Blade on single-engine helicopters (e.g., Bell 407 aircraft) made available to the public by Blade on a “by-the-seat” basis (“Flights”) between certain heliports located in New York City (“NYC Heliports”) and the Southampton heliport, specifically 87N, (such heliport “Southampton Locations” and such Flights “Southampton Flights”). Seats and Flights are subject to aircraft availability and weather conditions as determined by Blade and/or the applicable aircraft operator in their sole discretion.

4. Booking Limitations and Restrictions. Subject to these Terms, applicable taxes and any applicable “add-ons” or ancillary fees, Pass Holders may use the Pass to reserve one Seat on a Flight per Pass Holder for $595 per Seat. In the event that no additional paying customers reserve seats on a Flight on which Pass Holder has reserved a Seat, Blade may, in its sole discretion, reassign the Pass Holder to a different Flight and/or cancel Pass Holder’s reservation. Except as set forth in these Terms, the Pass will not be applicable to air transportation arranged by Blade on twin-engine helicopters (e.g., Sikorsky S-76 aircraft).

5. Fare Class & Upgrades.

  1. Fare Class. Seats reserved using the Pass will be the “Basic” fare class on the applicable Flight. Upgrades to Flex or Max fare classes are subject to availability at the time of booking at the applicable fare difference.
  2. Aircraft Upgrade. Subject to availability, Pass Holder may upgrade to a Seat on a larger aircraft (e.g., Sikorsky S-76 aircraft) by contacting Blade Flier Relations staff via phone. Pass Holder will be responsible for any applicable upgrade fees quoted by Blade in its sole discretion.
  3. Weather Upgrade. At Blade’s sole discretion and subject to availability, the Passholder may be eligible for a complimentary upgrade to a seaplane (e.g., Cessna 208 EX Caravan Amphibian Aircraft) if certain weather conditions prevent or restrict the Passholder’s originally scheduled Flight from operating.

6. Program Cancellations and Changes. All sales are final. The Pass is non-refundable, non-transferable and non-exchangeable under any circumstances, including but not limited to non-use, travel disruptions, weather, operational disruptions, or schedule changes. Blade and the applicable aircraft operator reserve the right to cancel, reschedule, or modify Flights in their sole discretion. Pass Holder will be responsible for any applicable cancellation and/or change fees, to be charged to the Pass Holder’s applicable credit card.

7. Blade Services. Misuse of the Pass or violation of these Terms may result in immediate termination of the Pass without refund in Blade’s sole discretion. The Pass may be subject to limited seat availability and/or high-demand travel restrictions. All Seats and Flights will be subject to the terms and conditions set forth on Blade’s website and/or mobile application applicable to such Seats or Flights at the time of booking, including without limitation, the Cancellation and Change Policies set forth at https://www.blade.com/p/cancellations.
